{"id":12676,"date":"2022-06-15T10:50:34","date_gmt":"2022-06-15T07:50:34","guid":{"rendered":"https:\/\/2023.sustainabilityreport2018.helpe.gr\/indicators\/2-18\/"},"modified":"2024-07-21T18:02:33","modified_gmt":"2024-07-21T15:02:33","slug":"2-18","status":"publish","type":"post","link":"https:\/\/sustainabilityreport2023.helleniqenergy.gr\/en\/indicators\/2-18\/","title":{"rendered":"2-18"},"content":{"rendered":"<p>In accordance with the Evaluation Policy adopted by the Board of Directors&#8217; decision 1388\/1\/15.7.2021, the objective of its evaluation is to provide the necessary feedback on its suitability and effectiveness to improve its operation, maximize its potential and identify areas for further development in order to ensure its effective operation and fulfill its role as the parent company&#8217;s highest management body.<\/p>\n<p>The policy applies to all members of the parent company&#8217;s Board of Directors who have served on the Board for more than six months at the start of the evaluation and is carried out:<\/p>\n<ul>\n<li>on an annual basis, in the form of a self-assessment,<\/li>\n<li>on a triennial basis, carried out entirely by a qualified external consultant.<\/li>\n<\/ul>\n<p>Task of the Nomination Committee and subject-matter of the two meetings held, with all its members attending, on 21.02.2023 and 04.04.2023, was the monitoring of the process of the first Board of Directors evaluation and that of its Committees on a collective and individual level from an external body. The process was completed in the beginning of April 2023 and the results were presented to the Board of Directors in extraordinary session on 06.04.2023. The Nominations Committee reviewed the fulfillment of the independence criteria of all independent nonexecutive members of the Board of Directors for the year 2023 in its session on 29.01.2024 and informed the BoD in order to establish the fulfillment of the independence criteria of its members in question.<\/p>\n<p>See also GRI 2-10, 2-19
